Terms of Service

The agreement between you and Andover Analytics Inc. covering accounts, subscriptions, automatic renewal, what the data is and is not, and how disputes are handled.

Effective date: September 25, 2026 Last updated: September 25, 2026

These Terms of Service ("Terms") are a binding agreement between you and Andover Analytics Inc., a Delaware corporation doing business as Andover Analytics ("Andover", "we", "us", "our"). They govern your access to and use of andoveranalytics.co, the Andover Analytics web application, any data, reports, or feeds we provide, and any related services (together, the "Service").

By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are accepting on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" means that organization.

Please read Section 12 (Disclaimers), Section 13 (Limitation of Liability), and Section 17 (Dispute Resolution and Arbitration) carefully. They limit our liability to you and affect how disputes between us are resolved.

1. What the Service is, and what it is not

Andover Analytics collects publicly available pricing information from third-party resale marketplaces and direct-buyer websites, cleans and normalizes it, and presents it alongside derived analytics such as price history, depreciation estimates, estimated fees, estimated net proceeds, spread calculations, and confidence indicators including the Andover Market Signal.

The Service is an information and analytics tool. It is not advice. We do not provide investment, financial, tax, legal, appraisal, or business advice, and nothing in the Service is a recommendation to buy, sell, hold, or price any device or other item. All decisions you make using the Service are your own, made on your own judgment and at your own risk.

We are not a party to any transaction you enter into with any third party. We do not buy, sell, broker, escrow, guarantee, insure, or fulfill any device transaction, and we have no responsibility for any transaction you conduct with anyone, whether or not you found it through the Service.

2. Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business use and is not directed to consumers or to children.

You agree to provide accurate, current, and complete information when you register and to keep it updated. You are responsible for safeguarding your credentials and for all activity that occurs under your account, whether or not you authorized it. Notify us promptly at hello@andoveranalytics.co if you learn of any unauthorized use.

Accounts are for a single organization. Unless your plan expressly includes multiple seats, you may not share credentials with, or provide access to, anyone outside your organization.

3. Plans, access tiers, and changes to the Service

The Service is offered in tiers, which currently include a free tier and one or more paid subscription tiers. Each tier provides access to a defined subset of models, storage capacities, conditions, carrier lock statuses, marketplaces, and features. The contents of each tier are described on our pricing page at the time you subscribe.

We may add, change, or remove features, data sources, models, or tiers at any time. Where a change materially reduces the core functionality of a paid tier during a period you have already paid for, your remedy is described in Section 5.

Data sources are outside our control. A marketplace may change its site, restrict access, or cease operating, and coverage of any particular source, model, or specification may change or end without notice.

4. Fees, billing, and automatic renewal

Subscription fees. Paid plans are billed in advance at the price and interval shown at checkout. All fees are stated in U.S. dollars and are exclusive of taxes. You are responsible for all applicable sales, use, VAT, and similar taxes, other than taxes on our income.

Automatic renewal. Paid subscriptions renew automatically at the end of each billing period at the then-current price, and your payment method is charged, until you cancel. We disclose the renewal interval and price before you complete checkout and send a confirmation after purchase.

Cancelling. You may cancel at any time through the billing portal in your account or by emailing hello@andoveranalytics.co. Cancellation takes effect at the end of the current billing period. You keep access through the end of that period and are not charged again.

Price changes. We may change subscription prices. We will give you at least thirty (30) days' notice before a price change takes effect for your subscription, and the new price applies at your next renewal. If you do not agree, cancel before that renewal.

Refunds. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or periods during which you did not use the Service.

Failed payments. If a payment fails, we may retry it, and we may suspend or downgrade your access until payment succeeds. Accounts left unpaid may be terminated under Section 11.

Payment processing. Payments are processed by a third-party payment processor. We do not receive or store your full payment card number. Your use of the processor's services is subject to its own terms and privacy policy.

5. Free tier and trial access

Any free tier, sample, or trial access is provided at our discretion and may be modified, limited, rate-limited, suspended, or discontinued at any time, with or without notice. Free access carries no service commitment of any kind.

6. Acceptable use

You agree that you will not, and will not permit anyone else to:

  • access the Service by any automated means, including scraping, crawling, or bulk extraction, except through an interface we expressly provide for that purpose under a plan that permits it;
  • copy, export, republish, redistribute, license, sell, sublicense, or otherwise make available any data or output from the Service to any third party, except as expressly permitted by your plan;
  • use the Service, or any output of it, to build, train, benchmark, or improve any product, dataset, model, or service that competes with the Service;
  • circumvent, disable, or attempt to defeat any access control, entitlement check, rate limit, or other technical measure we use, or access any data, feature, or tier your plan does not include;
  • reverse engineer, decompile, or attempt to derive the source code, structure, or underlying methodology of the Service, except to the extent that restriction is unenforceable under applicable law;
  • share, resell, or provide access to your account credentials, or use the Service on behalf of a third party as a service bureau;
  • upload or transmit any malicious code, or take any action that imposes an unreasonable load on our infrastructure or interferes with the Service or any other user's use of it;
  • use the Service in violation of any applicable law, or in violation of the terms of any third-party marketplace; or
  • misrepresent the Service, its outputs, or your relationship with us, including by presenting our data or analytics as your own independent research when doing so would mislead.

We may investigate suspected violations and may suspend or terminate access under Section 11.

7. Our intellectual property and your license to use the data

As between you and us, we own all right, title, and interest in the Service, including the software, interfaces, designs, the Andover Analytics name and marks, our compilations of data, our normalization and matching methodology, our derived metrics including depreciation estimates and the Andover Market Signal, and all improvements to any of the foregoing.

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and to use its outputs internally, for your own business purposes only, during your subscription term.

Underlying factual prices observed on public marketplaces are not claimed by us as our property. Our compilation, cleaning, normalization, enrichment, and presentation of that information, and all metrics we derive from it, are.

All rights not expressly granted are reserved. No license is granted by implication or estoppel.

8. Your content and feedback

You retain ownership of any data, files, or information you submit to the Service, including business intake information and any price lists or documents you upload ("Your Content"). You grant us a worldwide, royalty-free license to host, store, process, reproduce, and display Your Content solely to operate and improve the Service and to provide it to you.

You represent that you have all rights necessary to submit Your Content and that it does not infringe or misappropriate anyone's rights or violate any obligation of confidentiality you owe to a third party.

If you send us feedback, suggestions, or ideas, you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use them for any purpose without obligation or attribution to you.

9. Aggregated and de-identified data

We may create aggregated, statistical, and de-identified information from use of the Service and from the market data we collect, and we may use, license, and disclose that information for any lawful business purpose, including providing market data products to third parties. Aggregated and de-identified information will not identify you, your organization, or any individual, and will not include Your Content in a form that identifies you. Our handling of personal information is described in our Privacy Policy.

10. Third parties

The Service references, links to, and derives information from third-party marketplaces, websites, and services. We are not affiliated with, endorsed by, sponsored by, or acting as an agent of any of them, and any trademarks or names referenced belong to their respective owners and are used only to identify the source of information.

We do not control and are not responsible for third-party sites or services, their content, their availability, their terms, or any dealings you have with them.

11. Suspension and termination

You may stop using the Service and cancel your subscription at any time as described in Section 4.

We may suspend or terminate your access, in whole or in part, immediately and without liability, if we reasonably believe you have violated these Terms, if your account is delinquent, if required by law, or if your use poses a risk to us, the Service, or any third party. Where practical and lawful, we will try to give notice first.

On termination, your license under Section 7 ends and you must stop using the Service and any outputs whose license depended on an active subscription. Sections 1, 6 through 10, 12, 13, 14, 16, 17, and 18 survive termination, along with any other provision that by its nature should survive.

12. Disclaimers

THE SERVICE AND ALL DATA, ANALYTICS, ESTIMATES, SIGNALS, AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by law, we disclaim all warranties, express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant that:

  • any price, spread, fee estimate, depreciation figure, net proceeds estimate, return figure, confidence indicator, or other output is accurate, complete, current, or suitable for your purposes;
  • any price shown is available, honored, or achievable by you, or that any item can actually be bought or sold at any price shown;
  • fee assumptions reflect the fees you will actually be charged, which depend on your own account status, seller tier, payment method, shipping arrangements, and the marketplace's current terms;
  • the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected;
  • data collection from any source will continue, or that coverage of any model, specification, or marketplace will be maintained.

Estimates are estimates. Figures labeled as estimated, including estimated fees, estimated net, and any maximum or recommended purchase price, are calculated using default assumptions that may not match your actual costs. Your actual results will differ. Prices in the resale market are volatile and can move materially between the time data is collected and the time you act on it.

You are solely responsible for verifying any information before acting on it, and for your own business decisions, pricing, purchases, sales, inventory, and tax and regulatory compliance.

13. Limitation of liability

To the maximum extent permitted by law:

No indirect damages. Neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost business, lost goodwill, lost or inaccurate data, cost of substitute services, or business interruption, arising out of or relating to these Terms or the Service, regardless of the theory of liability and even if advised of the possibility of such damages.

Cap. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the total fees you actually paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Basis of the bargain. These limitations apply even if a limited remedy fails of its essential purpose, and they reflect an allocation of risk that is a fundamental element of the pricing of the Service.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions our liability is limited to the greatest extent permitted by law.

14. Indemnification

You will defend, indemnify, and hold harmless Andover Analytics Inc. and its officers, directors, employees, contractors, and agents from and against any third-party claim, demand, suit, or proceeding, and all resulting losses, damages, liabilities, settlements, costs, and reasonable attorneys' fees, arising out of or relating to (a) your use of the Service, (b) your breach of these Terms, (c) Your Content, (d) any transaction you enter into with any third party, or (e) your violation of any law or any third party's rights.

15. Changes to these Terms

We may update these Terms. If we make a material change, we will provide notice by posting the updated Terms with a new effective date and, for account holders, by email or in-product notice at least thirty (30) days before the change takes effect for paid subscriptions. Changes apply prospectively. Your continued use after the effective date means you accept the updated Terms. If you do not agree, cancel before the change takes effect.

16. Confidentiality

Non-public information about the Service, including pricing not publicly posted, methodology, and any materials marked confidential, is our confidential information. You will not disclose it to third parties or use it except to use the Service under these Terms.

17. Dispute resolution, arbitration, and class action waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have disputes heard by a jury.

Informal resolution first. Before starting any formal proceeding, you agree to contact us at hello@andoveranalytics.co with a written description of the dispute and to attempt in good faith to resolve it for sixty (60) days. Most disputes resolve this way.

Binding arbitration. If a dispute is not resolved informally, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court. The arbitration will be conducted in [COUNTY, STATE], or by videoconference or on documents only at the claimant's election where the rules permit. The arbitrator's award may be entered in any court of competent jurisdiction.

Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive or equitable relief in court to protect its intellectual property or confidential information.

Class action waiver. You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim proceeds in court and the rest of this Section 17 still applies to all other claims.

Your right to opt out. You may opt out of this arbitration agreement by emailing hello@andoveranalytics.co within thirty (30) days of first accepting these Terms, stating your name, account email, and that you opt out of arbitration. Opting out does not affect any other part of these Terms.

18. General

Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Subject to Section 17, the state and federal courts located in [COUNTY, STATE] have exclusive jurisdiction, and both parties consent to venue there.

Entire agreement. These Terms, together with our Privacy Policy and any order form or plan description you accept, are the entire agreement between us about the Service and supersede all prior discussions. Any purchase order or vendor terms you issue are of no effect.

No waiver. A failure to enforce any provision is not a waiver of it.

Severability. If a provision is held unenforceable, it is modified to the minimum extent necessary or severed, and the rest remains in effect.

Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is liable for any delay or failure caused by events beyond its reasonable control.

Relationship. The parties are independent contractors. Nothing creates a partnership, joint venture, employment, or agency relationship.

Notices. We may give notice by email to the address on your account or by posting in the Service. Legal notices to us must be sent to hello@andoveranalytics.co and to 7511 N 116th St, Omaha, NE 68142.

Contact. Questions about these Terms: hello@andoveranalytics.co.
